The terms for using Agorix.
Agorix connects events, learning, CRM, marketing, commerce, workflows, analytics, knowledge, and AI-assisted operations in one service. These terms explain the responsibilities that come with accessing and using that service.
1. Agreement and order of precedence
These Terms of Service form an agreement between [insert full legal entity] (“Agorix,” “we,” “us,” or “our”) and the individual or organization accepting them (“Customer,” “you,” or “your”). By creating an account, accepting an order, or using the service, you agree to these terms.
A signed order form, master services agreement, data processing agreement, business associate agreement, or other written agreement may supplement or replace parts of these terms. The final version should state a clear order of precedence among all documents.
2. Eligibility and authority
You represent that you are legally able to enter the agreement. If you use Agorix for an organization, you represent that you have authority to bind that organization and that references to “you” include it.
[Insert verified age and consumer-use restrictions.]
3. Accounts and access
You are responsible for maintaining accurate account information, protecting credentials, assigning appropriate roles, and all activity under accounts you control. Do not share individual credentials or allow unauthorized access. Notify Agorix promptly if you suspect an account or workspace has been compromised.
Administrators may invite, remove, and manage users for their organization. Customer is responsible for its users' compliance with the agreement.
4. The service
Subject to the agreement and applicable plan, Agorix grants Customer a limited, non-exclusive, non-transferable right to access and use the service during the subscription term for its internal business purposes.
Features, capacities, usage limits, support, and availability may vary by plan or order form. Agorix may improve or modify the service over time. Material reductions to contracted functionality should be addressed according to the final agreement.
5. Customer content and instructions
As between the parties, Customer retains its rights in the content, data, instructions, and materials it submits to or processes through Agorix (“Customer Content”). Customer grants Agorix the rights necessary to host, process, transmit, display, and otherwise use Customer Content to provide, secure, support, and improve the service as permitted by the agreement.
Customer is responsible for ensuring that it has the rights, permissions, notices, and lawful basis needed to provide Customer Content and instruct Agorix to process it. Customer controls its workspace configuration, campaigns, offers, workflows, integrations, and use of output.
The final contract must state the exact rights, improvement uses, de-identified or aggregated-data provisions, export terms, and deletion obligations.
6. Acceptable use
You must not use Agorix to:
- Violate law, regulation, privacy rights, publicity rights, or intellectual property rights.
- Upload malicious code, probe or bypass security controls, disrupt the service, or access systems or data without authorization.
- Send spam, deceptive communications, or content that harms or misleads recipients.
- Impersonate another person or misrepresent the source of a communication.
- Process prohibited or highly sensitive data unless expressly permitted by the agreement and supported by the service.
- Use AI features to make unlawful decisions, facilitate prohibited discrimination, avoid legally required human review, or create deceptive impersonation.
- Reverse engineer, copy, resell, or exploit the service except where expressly allowed by law or a written agreement.
- Exceed usage limits or interfere with fair access by other customers.
Agorix may investigate suspected violations and suspend or restrict access where reasonably necessary to protect the service, customers, recipients, or others. The binding terms should define notice and cure rights where appropriate.
7. AI features and output
Agorix AI features may draft, summarize, recommend, classify, analyze, configure, and route work based on instructions and permitted context. AI output can be incomplete, inaccurate, or unsuitable for a particular purpose.
Customer is responsible for:
- Choosing the instructions, context, permissions, and approval gates used with AI features.
- Reviewing output before relying on it where accuracy, sensitivity, or consequence requires human judgment.
- Confirming that use of the output complies with law, contracts, platform rules, and professional obligations.
- Avoiding automated use for legal, medical, financial, employment, credit, housing, safety, or other high-impact decisions unless expressly supported and lawfully configured.
Agorix does not make Customer's business decisions. Agent configuration should preserve appropriate human authority over customer-facing and consequential actions.
The final terms must align AI warranties, ownership, provider terms, training, retention, and prohibited-use language with the actual product and DPA.
8. Third-party services
Customer may connect Agorix to third-party services. Those services are governed by their own terms and privacy practices, and Agorix is not responsible for third-party products outside its control. Customer authorizes Agorix to exchange information with connected services as directed by Customer.
The final agreement should address changes, suspension, data access, and failures involving integrations and model providers.
9. Subscriptions, trials, and billing
Paid access is billed according to the selected plan, interval, usage, add-ons, taxes, and order terms. The current self-serve trial requires a payment method, charges $0 on the day it begins, and converts to the selected subscription on the displayed first-charge date unless canceled before the trial ends.
Plans may include capacity and usage limits. Additional usage, credits, room boosts, contacts, email sends, onboarding, or other services may carry separate charges.
10. Beta and preview features
Agorix may make beta, preview, experimental, or early-access features available. These features may change, be discontinued, or operate with different support and reliability expectations. Unless a written agreement says otherwise, do not use preview features for critical production activity or regulated data.
11. Intellectual property and feedback
Agorix and its licensors retain their rights in the service, software, design, documentation, trademarks, and related technology. No rights are granted except as expressly stated.
If Customer provides feedback, the final terms should state how Agorix may use it without transferring ownership of Customer Content.
12. Confidentiality
[Insert mutual confidentiality obligations, exclusions, compelled-disclosure procedures, permitted recipients, duration, and treatment of sensitive information. Align with any MSA or order form.]
13. Security and data protection
Agorix will maintain the security measures and data-processing commitments described in the controlling agreement. Customer is responsible for appropriate account controls, user roles, workspace configuration, lawful instructions, integrations, and endpoint security.
Privacy and processing are further described in the Privacy Notice and applicable DPA.
14. Suspension and termination
[Insert grounds for suspension; notice and cure; termination for cause or convenience; subscription effects; outstanding fees; data export and deletion; survival; and emergency security actions.]
15. Disclaimers
[Counsel must draft warranties and disclaimers that are appropriate to the product, jurisdictions, customer segment, and negotiated agreements. Avoid publishing incomplete boilerplate.]
16. Liability and indemnification
[Counsel must draft limitations of liability, exclusions, caps, claim procedures, and mutual or customer indemnities. Coordinate them with security, data protection, AI, intellectual property, and order-form commitments.]
17. Governing law and disputes
[Insert governing law, venue, dispute process, arbitration or court provisions, class-action treatment, injunctive relief, and jurisdiction-specific rights after counsel review.]
18. Changes to these terms
Agorix may update these terms from time to time. The binding version should explain when changes take effect, how material changes are communicated, and whether continued use constitutes acceptance.
